I have your letter of May 16, 1969, referring to my telephone conversation with Mr. R. Frederick Jett of the Staff of the Antitrust Subcommittee in which he requested certain documents from our client, National General Corporation.

National General will, of course, be pleased to

comply with your request, and is now accumulating the information you request. I hope to be able to deliver it to you shortly.

Reference is made to the May 28, 1969 telephone request to furnish you additional material for submission to the House Antitrust Subcommittee with regard to National General Corporation's original acquisition of 403,700 shares of Great American Holding Corporation common stock. Great American Holding Corporation (no written
report was furnished); and,

Folder #3 (relating to request #4), which
contains materials, minutes and press releases
relating to the decision of National General
Corporation to acquire Great American Holding
Corporation.

With regard to request #1, we cannot advise who sold such shares as they were purchased in regular New York Stock Exchange brokerage transactions. There is no material to submit in response to your request #3. No formal board or committee action was taken to authorize Carter, Berlind

& Weill, Inc. to conduct any study of Great American Holding Corporation. Please so advise the Committee when submitting the material forwarded with this letter.

I transmit herewith certain documents from National General Corporation, which you have requested in your letter to me dated May 16, 1969, described in a covering letter to me dated May 26, 1969, signed by Harold A. Lipton, First Vice President of National General; and certain other information and documents which you orally requested in your telephone call to me on May 9, 1969, described in a letter to me dated May 29, 1969, signed by Mr. Lipton. Copies of the two Lipton letters are enclosed.

Permit me to call your attention to page 2 of the Lipton letter to me, dated May 26, wherein Mr. Lipton states that National General, in supplying information to your committee, interpreted your request for information in the manner indicated in your May letter to the President of National General, Mr. Eugene Klein.

Richard E. Stewart, Superintendent of
Insurance of the State of New York, relating
to the "Report on Special Examination of
Declaration of Extraordinary Dividend on
January 14, 1969, dated April 2, 1969";

A list of the securities transferred pursuant
to the dividend declared as of January 10,
1969 and dividend rate is attached as Exhibit
"B" to the minutes referred to in 3. below.

3. A copy of the Minutes of the Board of Directors
of Great American Insurance Company held
January 14, 1969 in which the Board resolved
to pay said dividend, and which Minutes indicate
the members of the Directors present and voting.
